2. HIPAA Compliance

Both parties agree to comply with all applicable requirements of the Health Insurance Portability and Accountability Act (HIPAA). We act as a Business Associate to your covered entity practice. A separate Business Associate Agreement (BAA) will supersede these Terms regarding the handling of Protected Health Information (PHI) where applicable.

3. Payment and Fees

Fees for our services are described in your specific Service Agreement or Quote. Generally:

  • Percentage-Based Fees: For billing services, fees are typically a percentage of monthly collections.
  • Fixed Fees: Credentialing or consulting projects may be billed at a fixed rate.
  • Payment Terms: Invoices are due upon receipt unless otherwise specified. Late payments may accrue interest.

4. Intellectual Property

The content, features, and functionality of our website (including text, graphics, logos, and software) are the exclusive property of Healthcare 360 Solutions and are protected by United States and international copyright and trademark laws.

5. Limitation of Liability

To the fullest extent permitted by law, Healthcare 360 Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or in connection with your use of our services. Our total liability for any claim shall not exceed the amount paid by you for the services during the three (3) months prior to the claim.

6. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the services will cease immediately.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
